Monster Worldwide, Inc, the parent company of Monster, the global online careers and recruitment resource, today announced that it has sold its remaining TMP Worldwide Advertising & Communications businesses in Europe. The sale includes all of the Company’s Advertising & Communications businesses in the United Kingdom and Ireland. In a separate transaction, Monster Worldwide also sold its recruitment advertising agency in Spain. The net purchase price for these transactions was approximately $40 million, including approximately $31 million in cash and a $9 million note receivable.
These transactions allow Monster Worldwide to focus its resources on the expansion and growth of Monster across local and international markets.

We believe these transactions will serve the interests of Monster Worldwide’s shareholders as well as the TMP Worldwide Advertising & Communications businesses and their customers.
The businesses in the UK, Ireland and Spain that were sold employed approximately 480 of Monster Worldwide’s global workforce and contributed nearly $14.8 million in revenue and $1.3 million in operating income for the first quarter ended March 31, 2006. The impact of the sales and the operating results of these businesses will be recorded as discontinued operations and prior periods will be reclassified.
